Terms of Service
The terms under which we offer this website. Please read them — using the Site means you accept them.
These Terms of Service (“Terms”) govern your access to and use of keystoneexit.com (the “Site”), operated by Management System Improvements, LLC (“MSI, LLC,” “we,” “us,” or “our”), which does business as Keystone Exit. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
1. No professional advice; no client relationship
The Site and its content — including pages about our method, services, results, insights, the glossary, and the exit-readiness assessment — are provided for general informational purposes only. They do not constitute legal, tax, accounting, financial, investment, valuation, or other professional advice, and they are not a substitute for advice from qualified professionals who know your specific situation.
Using the Site, reading our content, downloading a guide, completing the assessment, or booking or attending an introductory call does not create an advisory, fiduciary, or other professional-client relationship between you and MSI, LLC. Such a relationship arises only under a separate, signed engagement agreement. Do not act, or refrain from acting, based on Site content without seeking appropriate professional advice.
2. No guarantee of results; forward-looking statements
Statements on the Site about increasing enterprise value (including any reference to selling for “5–10×” current value), timelines, multiples, or outcomes are illustrations of our approach and goals — not promises, guarantees, or projectionsof any particular result. Every business is different; results depend on factors outside our control, including market conditions and your own execution. Case studies and engagement descriptions on the Site are real but may be anonymized at the client’s request and figures may be rounded; they do not guarantee comparable outcomes. Past performance does not guarantee future results.
3. Eligibility & acceptable use
You may use the Site only if you can form a binding contract and only for lawful purposes. You agree not to:
- use the Site in violation of any law or these Terms;
- copy, scrape, harvest, or republish Site content except as permitted in Section 4;
- interfere with, disrupt, probe, or attempt to gain unauthorized access to the Site or its systems;
- introduce malware, or use bots or automated means to overload the Site; or
- misrepresent your identity or impersonate any person or entity.
4. Intellectual property
The Site and its content — text, design, graphics, logos, the Keystone Exit name and wordmark, diagrams, charts, and the method described — are owned by MSI, LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for your own informational, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our prior written permission. Trademarks and brand names of third parties referenced on the Site are the property of their respective owners; we claim no affiliation with or endorsement by them, including any third-party methodologies referenced for context.
5. Submissions & communications
If you send us ideas, feedback, or suggestions about the Site, you grant us a non-exclusive, royalty-free, perpetual license to use them without restriction or compensation. Do not send us confidential or proprietary information through the Site’s forms or email; information you submit before a signed engagement is not treated as confidential. Information you provide is handled per our Privacy Policy.
6. Third-party links & services
The Site may link to or integrate third-party services (for example, our scheduling tool). We do not control and are not responsible for the content, policies, or practices of any third party. Your use of those services is governed by their terms and privacy policies.
7. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any content is accurate, complete, or current. To the fullest extent permitted by law, you use the Site at your own risk.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MSI, LLC, ITS PRINCIPALS, AND ITS AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify and hold harmless MSI, LLCand its principals and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Site or your violation of these Terms.
10. Governing law & disputes
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to the Site or these Terms will be resolved exclusively in the state or federal courts located in Utah, and you consent to their personal jurisdiction — except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. Any claim must be brought within one (1) year after it arises.
11. Changes to the Site & these Terms
We may modify or discontinue the Site at any time. We may also update these Terms; when we do, we will revise the “Last updated” date above. Your continued use of the Site after a change means you accept the revised Terms.
12. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and us regarding the Site and supersede prior understandings about it. You may not assign these Terms; we may.
